Terms of Service

These terms govern the use of cj-digimarketing.com and any engagement of services from Charlie Johns, trading as CJ Digital Marketing ("CJ Digital", "I", "my", or "me"). By using this site or engaging my services, you agree to these terms.

About CJ Digital Marketing

CJ Digital Marketing is a sole trader business based in Cork, Ireland, providing digital marketing services including Google Ads management, Meta Ads management, social media management, web design, and SEO.

Use of this website

The content on cj-digimarketing.com is for general information. You may read, share, and reference content with attribution. You may not copy, scrape, or republish substantial portions of the site without written permission.

The site is provided "as is" without warranties. I make reasonable efforts to keep it accurate and available but do not guarantee zero downtime or zero errors.

Services

Specific service terms are agreed in writing for each engagement via a separate service agreement (contract). The contract takes precedence over these general terms where they differ. The points below apply by default to all engagements.

Engagements

  • Retainer services (Google Ads, Social Media, SEO) require a three-month minimum commitment, then month-to-month with 30 days notice to cancel
  • Project services (Web Design) are billed against an agreed scope at the start. Out-of-scope work is billed additionally
  • One-off services (audits, consultations, blog post writing) are billed per deliverable

Money-back guarantees

  • Google Ads retainers: 60-day money-back on management fees if agreed result not delivered
  • Social Media retainers: 90-day money-back on management fees if agreed growth from baseline not delivered
  • SEO retainers: 120-day money-back on retainer fees if agreed growth from baseline not delivered
  • Lead generation specifically is excluded from money-back terms because lead conversion depends on factors outside my control (your offer, your sales process, your follow-up)
  • Ad spend itself is never refundable because it goes to the ad platform (Google, Meta), not me
  • Web design projects do not carry money-back terms because the deliverable cannot be unmade once delivered

Payment terms

  • Retainers are invoiced monthly in advance
  • Project work is invoiced 50% on signing, 50% on launch
  • Payment due within 14 days of invoice date
  • Late payments may incur a 5% surcharge after 30 days
  • Repeated late payment is grounds for me to pause services

Client responsibilities

For services to work as agreed, you must:

  • Provide reasonable access to accounts and platforms as required
  • Respond to questions and approval requests within 5 business days
  • Pay invoices on time
  • Communicate openly about issues, changes, or shifts in your business
  • Not engage another agency or freelancer to do the same work in parallel without telling me

Intellectual property

  • You own all content, branding, and creative assets you provide to me
  • You own the deliverables I produce for you once paid in full (websites, ads, content, reports)
  • I retain the right to reference my work for you in my portfolio, case studies, and marketing materials, unless you specifically request otherwise in writing
  • I retain ownership of my processes, frameworks, templates, and methodologies, even if they appear within deliverables

Confidentiality

Information you share with me about your business is kept confidential. I will not share it with third parties without your permission, except as required by law or where third-party tools (Google, Meta, etc.) are necessary to deliver the agreed service.

Limitation of liability

My total liability for any engagement is capped at the fees you have paid me in the 3 months immediately preceding any claim. I am not liable for:

  • Loss of revenue, profit, or business arising from third-party platform changes (Google, Meta, etc.)
  • Issues caused by your own actions or decisions outside my scope of work
  • Indirect, consequential, or special damages

Nothing in these terms limits liability for fraud, gross negligence, or anything that cannot legally be limited under Irish law.

Cancellation and termination

  • You can cancel a retainer at any time after the initial 3-month minimum with 30 days written notice
  • I can cancel an engagement with 30 days written notice for any reason
  • Either party can terminate immediately for material breach (non-payment, abusive conduct, illegal activity)
  • On cancellation, any unpaid invoices for work already done remain due

Disputes

These terms are governed by Irish law. Any dispute will be resolved in the courts of Ireland. I prefer to resolve issues through direct conversation first. If that is not possible, mediation is the preferred next step before litigation.

Changes to these terms

I may update these terms from time to time. The "last updated" date reflects the most recent change. For existing clients, the version of these terms in force at the time of signing the service agreement applies for the duration of that agreement.

A note: These terms are a sensible starting point for an Irish sole trader running a digital marketing freelance business. They are not a substitute for solicitor-reviewed terms tailored to your specific situation. The money-back guarantee structure here is exposure that should ideally have a one-off solicitor review (€100 to €250) before going live. The terms above will work in the meantime as a fair, clear agreement between you and your clients.
